1. What This Agreement Covers

Focus Loop is a cloud-based digital signage platform that lets businesses upload marketing videos, organise them into loops, assign them to screens, and play them on loop in waiting rooms and similar spaces.
If you do not agree to these Terms, do not use the service.
2. Eligibility
To use Focus Loop, you must:
- Be at least 18 years old
- Have the legal authority to enter into this agreement
- Provide accurate and complete registration information
If you are using Focus Loop on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
3. Your Account
You are responsible for:
- Keeping your login credentials secure
- All activity that occurs under your account

We use Clerk for authentication. Your login credentials are managed by Clerk and we do not store your passwords directly.
4. What You Can Do (Acceptable Use)
You may use Focus Loop to upload, manage, and display video content on screens you control. You agree not to:
- Upload content that is illegal, harmful, defamatory, obscene, or infringes on anyone's rights
- Upload content that contains malware, viruses, or malicious code
- Attempt to gain unauthorised access to our systems or other users' accounts
- Use the service to send spam or unsolicited communications
- Reverse-engineer, decompile, or attempt to extract the source code
- Resell or redistribute the service without our written permission
- Use the service in any way that violates applicable South African law
We reserve the right to remove content or suspend accounts that violate these terms.
5. Your Content
You own your content. All videos, images, and other materials you upload remain your intellectual property. We do not claim any ownership over your content.
By uploading content, you grant us a limited licence to store, process, and deliver your content solely for the purpose of providing the service. This licence ends when you delete your content or close your account.
You are solely responsible for ensuring you have the rights to use and display any content you upload.
6. Our Intellectual Property
Focus Loop, including its software, design, logos, and documentation, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our branding or intellectual property beyond what is needed to use the service.
7. Billing and Payments
- Focus Loop is a paid subscription service billed in South African Rand (ZAR)
- Payments are processed by Paystack. We do not store your credit card or bank details
- Your subscription renews automatically unless you cancel
- Prices may change with 30 days' notice
- If payment fails, we may suspend your access until settled
- Refunds are handled on a case-by-case basis at our discretion
8. Free Trials and Plan Changes
- If we offer a free trial, we will clearly state the duration and what happens when it ends
- You may upgrade or downgrade your plan at any time
- Downgrades take effect at the end of the current billing period
9. Service Availability
We aim to keep Focus Loop available and reliable, but we do not guarantee 100% uptime. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses caused by service interruptions.
10. Termination
By you: You may cancel your account at any time. Cancellation takes effect at the end of your current billing period.
By us: We may suspend or terminate your account if you violate these Terms, fail to pay outstanding fees, or use the service in a way that harms other users or our infrastructure.
What happens on termination: Your access ends, we retain your data for 30 days to allow export, then permanently delete it. Any outstanding fees remain payable.
11. Limitation of Liability
To the maximum extent permitted by South African law: Focus Loop is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded under South African law.
12. Indemnification
You agree to indemnify and hold Focus Loop harmless from any claims, damages, or expenses arising from your use of the service, content you upload, your violation of these Terms, or your violation of any third party's rights.
13. Changes to These Terms
We may update these Terms from time to time. We will update the "Last Updated" date, notify you for material changes, and give at least 14 days' notice. Continued use after changes take effect constitutes acceptance.
14. Governing Law and Disputes
These Terms are governed by the laws of the Republic of South Africa. Any disputes will be subject to the exclusive jurisdiction of the courts of South Africa. Both parties agree to attempt good-faith negotiation for at least 30 days before initiating legal proceedings.
15. General
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No Waiver: Our failure to enforce any right does not constitute a waiver.
- Assignment: You may not assign your rights without our written consent. We may assign ours at any time.
